Company Deregistration

• Description
  • This service allows an entity to request deregistration of an FZ-LLC and the cancellation of Commercial License through this service.
  • When a business partner ceases the operation in Dubai Health Care City, the Licensee is required to cancel the Commercial License.
  • For FZ-LLC, a Deregistration process is required in addition to the cancellation of Commercial License.
• Prerequisites

  ​​The commercial License must be valid (Active, Expired or suspended)

• Required Documents

  FZ-LLC:

  • Shareholders' Resolution resolving to dissolve the Company (Notarized & Attested up to UAE embassy level)
  • Letter of confirmation from auditor confirming that the FZ‐LLC does not have any outstanding debt claims or liabilities to employees and any third parties.
  • NOC from Landlord specifying date of vacating the premises
  • Advertisement published one day in two local daily newspapers ‐(Arabic & English) –original, regarding the licence cancellation of the company providing 15 days’ notice to the public. (templates will be available in the portal)
  • Return the following original legal documents to the registration and licensing department
  • Articles of Association.
  • Memorandum of Association .
  • Obtain clearances from following departments indicating the below has been requested and finalized
  • DHCC Finance Department: Payment of any outstanding fees with DHCC.
  • GOS: Cancellation of Post Box number, the key returned and cancellation / transfer or cancellation of all employment visas and Establishment Card .
  • Dubai Customs: Clearance letter from Dubai Customs that there are no outstanding.

  Branch:

  • Board Resolution resolving to dissolve the Branch (Notarized & Attested up to UAE embassy level)
  • Advertisement published one day in two local daily newspapers ‐(Arabic & English) –original, regarding the licence cancellation of the company providing 15 days’ notice to the public. (templates will be available in the portal)
  • NOC from Landlord specifying date of vacating the premises
  • Obtain clearances from following departments indicating the below has been requested and finalized
  • DHCC Finance Department: Payment of any outstanding fees with DHCC
  • GOS: Cancellation of Post Box number, the key returned and cancellation / transfer or cancellation of all employment visas and Establishment Card.
  • Dubai Customs: Clearance letter from Dubai Customs that there are no outstanding

  Apply online.

  • Enter the deregistration reason.
  • Set advertisement dates and upload the newspaper clip.
  • Upload the required documents.
  • Select the notarization method.
  • Make Payment (Payment can be made over available channels: counter, online, cheque, Advance deposit or via wire transfer)
  • Deregistration certificate will be generated
  • Note that any paid fees will not be refundable.
